Enterprise Terms & Conditions

1. Scope of Services

The Provider will deliver enterprise-grade video processing and immersive media services to the Client as part of an ongoing commercial engagement. These services include the processing of client-supplied video content into high-quality immersive outputs suitable for professional training, head-mounted displays, large-format screens, or dome-based projection environments.

Services may include, but are not limited to, video format normalization, resolution enhancement, projection-specific mapping, and preparation of outputs aligned to the intended display environment.

Unless otherwise agreed in writing, the scope of services includes the processing of up to 90 minutes per month of video content at up to 8K resolution, including support for 360° equirectangular HEVC (H.265) input formats.

Where specified, processed content may be converted into Fulldome fisheye masters or other projection-specific output profiles appropriate to the Client’s display systems.

Services are delivered based on the configuration agreed with the Client, including input formats, output formats, resolution, projection type, and delivery profile. All enterprise outputs may be delivered in a white-label, non-branded form unless otherwise agreed.

Any material changes to scope, configuration, processing allowance, or output profile will be mutually agreed in writing by both parties.

2. Processing Allowance and Usage

The monthly service fee includes a defined processing allowance, measured in minutes of video processed per month, at the agreed resolution and output profile. This allowance represents the volume of processing covered under the fixed monthly commercial terms.

If the Client’s usage exceeds the agreed monthly allowance, additional processing may be accommodated either at a predefined overage rate or through an adjustment to the monthly allowance, subject to mutual agreement.

Unused processing capacity does not roll over to subsequent months unless explicitly agreed.

3. Delivery and Quality Assurance

The Provider operates a deterministic and repeatable processing workflow designed to deliver consistent output quality across all services. Delivery timelines and service levels align with the enterprise service tier selected by the Client.

As part of standard enterprise quality assurance, the Provider will review processed outputs for technical correctness, visual stability, and suitability for the intended display environment.

The Client agrees to review delivered outputs in a timely manner and provide feedback or approval within a reasonable timeframe to support continuity of service.

4. Onboarding and Reference Standard

At the start of the engagement, the Provider may conduct an onboarding or kickoff session to align on technical parameters, output expectations, and quality standards.

Where appropriate, the Provider may generate a short representative output clip, which, once approved by the Client, will serve as a reference standard for subsequent processing. This reference standard will be used to ensure consistency across ongoing deliveries.

5. Data Handling and Security

All content submitted by the Client remains the exclusive property of the Client. The Provider will use Client content solely for the purpose of delivering the agreed services.

Content may be retained temporarily to support processing, quality assurance, and delivery, and may be deleted after delivery or retained for a defined period, as agreed between the parties.

The Provider employs secure infrastructure and industry-standard measures for data transfer and storage appropriate to enterprise workloads.

6. Intellectual Property

The Client retains full ownership of its original content and all processed outputs delivered under these terms.

The Provider retains all rights, title, and interest in its proprietary software, workflows, processing pipelines, models, and internal methodologies.

7. Support and Communication

Enterprise clients receive support and escalation appropriate to the scope and criticality of the engagement. The Provider will address technical or delivery issues in a professional and timely manner.

Services are delivered on an enterprise best-practice basis and are not intended as bespoke creative production unless explicitly agreed.

8. Commercial Terms

The agreed monthly fee is billed on a recurring basis according to the selected enterprise service tier. Engagements are typically subject to a minimum commitment period, as specified in the commercial agreement or invoice.

Fees are exclusive of applicable taxes unless stated otherwise. Payment terms are defined at the start of the engagement.

9. Limitations and Assumptions

The Provider is responsible for the processing and delivery of video content as specified but is not responsible for the performance, calibration, or configuration of the Client’s playback systems or display environments.

Final visual appearance may vary depending on hardware, venue conditions, and playback configuration. Services are delivered within the technical parameters agreed during onboarding.

10. Termination

Either party may terminate the engagement in the event of a material breach by the other party, subject to written notice and a reasonable opportunity to cure.

Upon termination, outstanding fees for services rendered remain payable. Client content will be returned or deleted in accordance with the agreed data handling approach.

11. Confidentiality

Both parties agree to treat all non-public technical, commercial, and operational information exchanged during the engagement as confidential and to use such information solely for the purposes of fulfilling this agreement.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of India, unless otherwise agreed in writing.
